Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products and services provided by METRICFLOWIQ LLC ("Company," "we," "us," or "our"), including METRICFLOWIQ LLC, The Vault, and all related applications, modules, portals, websites, features, and services (collectively, the "Service"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Acceptance of terms

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Accounts and access

  • You are responsible for safeguarding your login credentials and any activity under your account.
  • You must provide accurate information and keep it up to date.
  • You may not share accounts across individuals unless explicitly permitted by your plan or agreement.
  • You are responsible for managing user access, permissions, and offboarding within your organization.

3. Acceptable use

You agree not to misuse the Service. For example, you will not:

  • Attempt to gain unauthorized access to systems, data, accounts, or other customers' workspaces.
  • Probe, scan, or test the vulnerability of the Service except as authorized by us in writing.
  • Upload malware, malicious code, or content designed to interfere with the Service.
  • Scrape, harvest, or bulk extract data except through supported product features and authorized exports.
  • Send spam, abusive messages, deceptive content, or unlawful communications through the Service.
  • Bypass or attempt to bypass usage limits, security controls, access controls, or billing restrictions.
  • Use the Service to collect or process data unlawfully or without required rights, notices, or consents.
  • Use the Service in violation of applicable laws, regulations, third-party rights, or these Terms.

4. Customer data

You retain ownership of the content and data you upload to the Service ("Customer Data"). You grant the Company a limited license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, support, and improve the Service.

You are responsible for ensuring you have the rights, permissions, notices, and consents needed to collect, upload, use, and share Customer Data, including personal information about clients, prospects, employees, or other individuals.

5. Service ownership and license

As between you and the Company, the Company and its licensors retain all right, title, and interest in and to the Service, including Metric Flow IQ, The Vault, and all software, source and object code, technology, interfaces, designs, layouts, workflows, templates, features, documentation, updates, improvements, configurations, and derivative works. This does not include Customer Data, Customer Branding Materials, or third-party materials owned by their respective owners.

Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your internal business purposes during your subscription or authorized access period. No ownership rights are transferred to you, and the Company reserves all rights not expressly granted in these Terms.

Except where applicable law does not permit the restriction, you may not copy, modify, sell, resell, sublicense, distribute, reverse engineer, decompile, attempt to discover source code, create a competing product from, or remove proprietary notices from the Service without the Company's prior written permission.

6. Custom branding and configuration

You retain ownership of the names, logos, trademarks, colors, and other branding materials you provide ("Customer Branding Materials"). You grant the Company a limited license to host, reproduce, modify for technical formatting, and display Customer Branding Materials as necessary to provide and support the Service. You represent that you have all rights needed to provide and authorize use of those materials.

Custom branding, domains, terminology, configurations, workflows, integrations, or customer-requested modifications do not transfer any ownership interest in the Service or its underlying software, technology, designs, templates, features, or documentation. Providing a customized or customer-branded experience does not make the Service a work made for hire, jointly owned work, assignment, franchise, or sale. A transfer of ownership is effective only if expressly stated in a separate written agreement signed by an authorized representative of the Company.

7. Third-party integrations

If you enable a third-party integration, you authorize the Service to access and use third-party account data necessary to provide the integration features you choose. You are responsible for your third-party accounts, provider permissions, and compliance with third-party terms.

You may disconnect supported integrations in the Service. Disconnecting an integration may affect related workflows, sync behavior, or data availability.

8. AI assistant features

The Service may include optional AI assistant features. You are responsible for the prompts, files, and context you submit to AI features and should not submit information that is unnecessary for the requested task.

AI-generated output may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for reviewing AI output before relying on it. AI output is not legal, financial, tax, compliance, insurance, or other professional advice.

9. Subscriptions, trials, and payment

Paid plans, trials, renewals, cancellations, taxes, usage limits, and billing terms may be presented during signup, checkout, or in an applicable order form. By starting a paid plan or trial, you agree to the plan terms shown at the time of purchase or activation.

Fees are generally non-refundable except as required by law or expressly stated in a separate written agreement. We may suspend or limit access for nonpayment, payment disputes, abuse, or violation of these Terms.

10. Availability and changes

We may update, change, or discontinue parts of the Service. We aim to keep the Service available, but we do not guarantee uninterrupted operation.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, if required by law, or if necessary to protect the Service, users, customers, or third parties.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRICFLOWIQ LLCDISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRICFLOWIQ LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.
